[AGC] Terms of Service

Effective Date: October 13, 2025

1. Acceptance

By accessing or using the websites at agc.dev or platform.agc.dev, (collectively, the “Service”), you agree to these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Service.

2. Accounts & Eligibility

You must be at least 18 years old to use the Service. You are responsible for the security of your account and for all activities under it. Keep credentials confidential and notify [AGC] of any unauthorized use.

3. Use Rights

[AGC] grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes, subject to these Terms and any applicable Order Forms or documentation.

4. Acceptable Use

• No unlawful, infringing, or harmful content.
• No reverse engineering, decompiling, or circumventing technical controls.
• No interfering with or overloading the Service (e.g., abusive traffic, scraping bypassing rate limits).
• No use that violates others’ privacy or intellectual property rights.

5. Customer Data & Outputs

“Customer Data” means content you submit to the Service. You retain ownership of Customer Data. You grant [AGC] a license to process Customer Data solely to provide and improve the Service, as described in our Privacy Policy. You are responsible for lawful collection and use of Customer Data.

6. Intellectual Property

The Service, software, documentation, and all related intellectual property are owned by [AGC] or its licensors. Except for the limited rights expressly granted, no rights are transferred to you.

7. Beta & Pre-GA Features

We may offer alpha/beta/pre-release features. They are provided “AS IS,” may change, and may be discontinued without notice.

8. Third-Party Services

Integrations or third-party services (including model providers) are governed by their own terms. [AGC] is not responsible for third-party services.

9. Confidentiality

Each party may access confidential information of the other. The receiving party will protect such information with reasonable care and use it only to fulfill these Terms. This section does not limit data use outlined in the Privacy Policy.

10. Security

[AGC] implements reasonable administrative, technical, and physical safeguards. No system is completely secure; you are responsible for securing your environments and credentials.

11. Fees & Taxes

If you purchase paid features, you agree to pay fees as stated in the Order Form or pricing page. Fees are exclusive of taxes; you are responsible for applicable taxes.

12. Term; Suspension; Termination

We may suspend or terminate access for violations or risks to the Service. You may stop using the Service at any time. Certain sections (e.g., IP, Confidentiality, Disclaimers, Limitation of Liability, Indemnity, Governing Law) survive termination.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” [AGC] DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. [AGC] DOES NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [AGC] WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. [AGC]’S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO [AGC] FOR THE SERVICE DURING THAT PERIOD.

15. Indemnification

You will indemnify and hold harmless [AGC] from claims arising out of your use of the Service or Customer Data in violation of these Terms or applicable law.

16. Changes

We may update these Terms from time to time. We will post the updated version with a new Effective Date. Your continued use of the Service indicates acceptance.
